Term & Condition

These Terms and Conditions govern your use of the services provided by SpaceEdge Technology, a digital marketing firm located at Vaishali, Ghaziabad, Uttar Pradesh, India. By engaging with our services, you agree to comply with and be bound by these Terms.

Services Provided

We offer a variety of digital marketing services, including but not limited to Bulk SMS, SEO, PPC, social media marketing, email marketing, content creation, and website development. The scope of Services will be outlined in a separate agreement or proposal provided to you.

Client Responsibilities

i. Information & Cooperation: You agree to provide accurate, complete, and timely information required to perform the Services. You shall cooperate with us in all matters relating to the Services.

ii. Access & Permissions: You grant us the necessary access to your accounts, websites, and other digital assets required to perform the Services. This may include login credentials for platforms like Google Analytics, social media accounts, and content management systems.

iii. Compliance: You agree to comply with all applicable laws and regulations in connection with the use of our Services.

Payment Terms

i. Fees: The fees for our Services will be outlined in a separate agreement or proposal. All fees are payable as specified in the agreement.

ii. Payment Schedule: Payment terms will be detailed in the proposal or agreement. Invoices are due upon receipt unless otherwise specified.

iii. Late Payments: Any late payments may incur additional charges, and we reserve the right to suspend or terminate the Services if payments are not made on time.

Intellectual Property Rights

i. Ownership: All intellectual property created during the course of providing the Services, including but not limited to content, designs, strategies, and campaigns, will be owned by SpaceEdge Technology until full payment is received. Upon full payment, ownership of deliverables may be transferred to the Client, subject to the terms of the agreement.

ii. Client Assets: You retain ownership of all materials, content, and data you provide to us for the purpose of delivering the Services.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation remains in effect even after the termination of the Services.

Liability

i. Limitation of Liability: SpaceEdge Technology shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Services provided. Our total liability for any claims arising from our Services shall not exceed the amount paid by you for those Services.

ii. Indemnification: You agree to indemnify and hold harmless SpaceEdge Technology from any claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of your breach of these Terms or any misuse of the Services.

7. Termination

i. Termination by Client: You may terminate the Services at any time by providing written notice to us. Upon termination, you will be responsible for payment of all Services rendered up to the date of termination.

ii. Termination by Company: We reserve the right to terminate the Services at any time if you breach these Terms or for any other reason. Upon termination, we will provide you with a final invoice for Services rendered up to the date of termination.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil disturbances, and natural disasters.

Governing Law

These Terms shall be governed by and construed in accordance with the laws. Any disputes arising under or in connection with these Terms shall be resolved in the courts.

Amendments

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on our website. It is your responsibility to review these Terms periodically to stay informed of any updates.

Entire Agreement

These Terms, together with any proposal or agreement, constitute the entire agreement between you and SpaceEdge Technology regarding the Services and supersede all prior agreements, understandings, and representations.
